About the Role
Our client, a growing Luxembourg Alternative Investment Fund Manager focusing on private equity strategies, is seeking an experienced Conducting Officer with responsibility for Compliance. This role sits at the core of the AIFM’s governance framework and is responsible for ensuring full regulatory compliance, strong oversight of delegates, and an effective internal control environment.
The position requires solid regulatory expertise, hands-on compliance experience within a Private Equity AIFM environment, and the ability to confidently represent the firm before the CSSF and other stakeholders.
Key Responsibilities:
Compliance Oversight & Framework
- Serve as the CSSF-approved Conducting Officerresponsible for the Compliance function.
- Maintain, enhance and oversee the AIFM’s compliance framework, including policies, procedures, monitoring plans, and internal controls.
- Ensure compliance with AIFMD, Luxembourg Fund Laws, AML/CTF regulations, MiFID-relevant obligations (if applicable), and other regulatory developments.
- Conduct the annual and periodic review of the Compliance Monitoring Plan and ensure timely follow-up of findings.
Regulatory Monitoring & Reporting
- Track regulatory changes and assess their relevance and impact on the AIFM and the funds under management.
- Prepare and review regulatory submissions, including CSSF filings, incident reports, and thematic reports.
- Oversee regulatory interactions and respond to CSSF enquiries, inspections, and information requests.
Delegate Oversight
- Perform ongoing oversight and due diligence on delegated functions (portfolio management, administration, transfer agency, risk management, etc.).
- Assess and challenge the compliance frameworks of service providers and ensure adherence to SLAs and regulatory standards.
- Lead periodic delegate due diligence reviews and address any identified gaps or risks.
Compliance Advisory
- Advise senior management, the Board, and internal teams on compliance matters, regulatory expectations, and new obligations.
- Provide guidance on marketing rules, cross-border distribution, conflicts of interest, investor onboarding, and conduct requirements.
- Review and validate fund documentation from a compliance perspective (PPM, LPA, side letters, KIIDs, marketing materials).
AML/CTF Oversight
- Support the AML Officer (RR/RC) with AML/CTF oversight, including ongoing monitoring and review of investor due diligence.
- Ensure alignment between Compliance and AML frameworks and effective escalation of high-risk matters.
- Participate in or supervise AML risk assessments and periodic AML reporting.
Governance & Reporting
- Prepare and present compliance reports to the Board of Directors, internal committees, and senior management.
- Participate in key internal governance committees, including Compliance, Risk, Valuation, and Investment Oversight committees.
- Contribute to strengthening the AIFM’s governance structure and overall risk and control environment.
Key Requirements:
Professional Experience
- 7–10+ years of experience in Compliance within a Luxembourg AIFM, private equity manager. Previous Private Equity experience is essential.
- Demonstrated knowledge of the AIFMD framework and strong familiarity with private equity fund structures (SIF/RAIF/SCSp).
- Prior experience as a Conducting Officer or strong readiness for CSSF approval is highly preferred.
Technical Expertise
- Strong understanding of compliance monitoring, AML/CTF rules, cross-border marketing, and fund distribution obligations.
- Experience conducting delegate oversight and regulatory reporting.
- Ability to interpret fund documentation and regulatory texts.
Soft Skills
- High degree of professional judgement, integrity, and accountability.
- Strong communication and stakeholder-management skills.
- Ability to work autonomously while operating effectively in a small, growing team.
Languages
- Fluency in English required; French or German is an asset.
