Position Summary

Leading global PE company is seeking an Assistant Legal Manager to join its growing platform in Luxembourg

Primary Responsibilities

Legal tasks

• Review / prepare relevant legal transaction documentation regarding the companies’ life cycle

• Prepare/review contracts, agreements, reports

• Review / prepare corporate documents

• Liaise with stakeholders, including lawyers and notaries

• Co-ordinate the filings with the CSSF and prepare the relevant documentation

Support corporate bodies

• Shareholders: review / draft the documentation for shareholders’ general meetings (annual, ordinary and extraordinary): convening notices, proxies, minutes, filing with the Luxembourg trade and companies register

• Board of Managers: assist with the preparation of quarterly board meetings and review and /or write up the minutes

• Review / draft resolutions of the Board of Managers and of the Shareholders when requested

• Provide support to the board member in terms of the details of the transactions, background of the legal documents to be signed, legal validity of the documents/transactions

Support deal teams

• Review / prepare corporate documents such as board minutes and proxies related to the investments

• Active engagement with the deal teams in the investment process including from the initial offer letter step up to the closing of the transaction

• Regular interactions with the deal team personnel regarding the performance of assets & any other events during the lifetime of the holding of the asset

• Review of engagement letters and letters of interest submitted by the deal teams • Review & active involvement in providing comments on documents linked to the execution of deals

Requirements

• Good knowledge and understanding of Luxembourg corporate Law

• Good knowledge and practical experience of private equity structures

• Minimum of 3 years of experience in the transactional department of a Luxembourg law firm

• College Degree or similar qualification – in Law or Business Administration
